Terms or Services

These Terms of Service ("Terms") govern your access to and use of Rewamil ("Platform", "we", "us", or "our"), an AI assistant platform operated by Humayoun Kabir, Dhaka, Bangladesh.
By registering for or using Rewamil, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
Rewamil routes requests to artificial intelligence models provided by OpenAI (USA) and DeepSeek (China) via their respective application programming interfaces ("AI Providers"). Your use of those models through Rewamil is also subject to each provider's policies: OpenAI (https://openai.com/policies/) and DeepSeek (https://cdn.deepseek.com/policies/). In the event of a conflict between these Terms and provider policies, the stricter obligation applies.
1. Definitions
2. Eligibility
2.1 You must be at least 18 years of age to create an Account and use the Platform. By registering, you represent and warrant that you meet this requirement.
2.2 The Platform is intended exclusively for use in Bangladesh by professionals engaged in accounting, auditing, finance, company secretarial work, HR, or consulting services. Use outside Bangladesh is not supported or warranted.
2.3 You must provide accurate registration information and keep it current. Rewamil reserves the right to suspend or terminate accounts where registration information is found to be false or misleading.
3. Account Registration and Security
3.1 You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account.
3.2 You must notify us immediately of any unauthorized use of your Account at the contact details in Section 18.
3.3 Accounts are personal and non-transferable. You may not share, sell, or sub-license access to any other person.
4. Description of Service
4.1 Rewamil provides a workspace that aggregates AI models from OpenAI and DeepSeek, payment in Bangladeshi Taka (BDT), folder-based chat management, a prompt library, built-in professional prompts, and configurable default chat settings.
4.2 The Platform routes your Input to AI Provider APIs using a stateless, non-persistent API architecture. This means:
- AI Providers process your Input to generate Output without retaining it in their systems beyond abuse-monitoring periods described in Section 8.
- Rewamil, not the AI Provider, manages and stores your Chat history.
4.3 Features, models, and configurations may change. We will notify you of material changes through the Platform or by email.
5. Subscription, Wallet, and Payment
5.1 Subscription Fee
Access to the Platform costs BDT 500 per 30-day billing cycle, charged upfront from your Wallet at the start of each cycle. The Subscription fee grants platform access only; AI usage is billed separately as Token Charges.
5.2 Token Charges
Token Charges are billed on a pass-through basis at the AI Providers' cost, with no markup added by Rewamil. USD-denominated provider costs are converted to BDT at the exchange rate on the date of use. A pre-send balance check is performed before each message; if your Wallet balance falls below BDT 5 or below the estimated cost of the message, the message will be blocked until you recharge.
5.3 Renewal
At the end of each 30-day cycle, BDT 500 is automatically deducted from your Wallet to renew the Subscription. If your Wallet balance is insufficient at the time of renewal, the Subscription lapses and Section 5.5 applies. Renewal is driven entirely by your Wallet balance; Rewamil does not hold any card-on-file or recurring payment authorization.
5.4 Wallet Top-Up
You may top up your Wallet at any time via bank transfer or bKash. Rewamil recommends maintaining a balance above BDT 500 near the end of each cycle to ensure uninterrupted renewal, plus a buffer for Token Charges.
5.5 Lapse, Read-Only Mode, and Account Deletion
If your Subscription lapses:
- Your Account enters read-only mode for fifteen (15) days. You may view existing Chats and data but may not send new messages or start new Chats.
- You may recharge your Wallet at any time within the 15-day window to restore your Subscription immediately.
- After 15 days in read-only mode, your Account becomes eligible for permanent deletion at Rewamil's discretion. Recovery of data beyond this point is not guaranteed.
5.6 No Refunds; No Mid-Cycle Cancellation
All Wallet top-ups and Subscription fees are non-refundable. Once the BDT 500 Subscription charge has been deducted, service runs to the end of the 30-day cycle. You may stop future renewals by not topping up your Wallet before the end of the cycle. Rewamil does not initiate chargebacks and is not responsible for any chargeback initiated by you with your payment provider; such chargebacks may result in immediate Account suspension.
5.7 Taxes
Rewamil charges and remits Value Added Tax (VAT) and any other applicable taxes as required under Bangladesh law. Financial transaction records, including your email address associated with transactions, are retained for as long as required by applicable tax and VAT law and regulations, regardless of whether you have deleted your Account or Chats. These records are used solely for regulatory compliance and dispute resolution and are not used for any other purpose.
6. Acceptable Use
6.1 You agree to use the Platform only for lawful professional purposes and in compliance with all applicable laws and regulations of Bangladesh, including all regulatory requirements applicable to your profession and industry.
6.2 You must not:
- Submit any Input that violates applicable law or infringes the rights of any third party.
- Use the Platform to generate, transmit, or store content that is illegal, defamatory, fraudulent, obscene, or harmful.
- Use Outputs to develop, train, or fine-tune any artificial intelligence model that competes with OpenAI's or DeepSeek's products and services.
- Attempt to reverse-engineer, decompile, or extract the underlying AI models or the Platform's systems.
- Circumvent, disable, or interfere with rate limits, safety filters, or other protective measures.
- Buy, sell, or transfer API keys or Platform credentials to or from any third party.
- Use the Platform to facilitate money transfers, cryptocurrency transactions, or financial transactions other than payments to Rewamil itself.
- Allow minors (persons under 18) to use the Platform through your Account.
6.3 Rewamil reserves the right to suspend or terminate your Account immediately for any breach of this Section. In the event of breach, any unconsumed Wallet balance may be forfeited.
6.4 You are solely responsible for any Input you submit and any Output you rely upon. Rewamil does not warrant the accuracy, completeness, or fitness for purpose of any Output. Outputs are not a substitute for professional advice.
7. Intellectual Property
7.1 Rewamil and its platform design, features, branding, built-in prompts, and software are owned by Humayoun Kabir and protected by applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Platform solely for your own professional purposes during your active Subscription.
7.2 You own the Input you submit. Subject to these Terms, you also own the Output generated in response to your Input. You are responsible for ensuring that your Input does not infringe the intellectual property or other rights of any third party.
7.3 Rewamil does not claim any right to your Input or Output and does not use either for training or improving any AI model.
7.4 The AI Providers retain all rights in and to their respective models. Rewamil's name and branding are not affiliated with, endorsed by, or associated with OpenAI or DeepSeek.
8. Data, Privacy, and Confidentiality
8.1 Rewamil's Privacy Policy, published separately and incorporated herein by reference, governs the collection, use, storage, and deletion of your personal data.
8.2 Stateless API Architecture
Input and Output are transmitted to AI Providers via stateless API calls. AI Providers do not retain User data in their model training systems. Notwithstanding the foregoing, the following provider-side retention periods apply by operation of provider policy and are outside Rewamil's control:
- OpenAI retains API inputs and outputs for up to 30 days for abuse monitoring purposes, after which such data is deleted from OpenAI's systems unless longer retention is required by applicable law.
- DeepSeek processes and retains data in accordance with its Privacy Policy and applicable data protection laws.
By using the Platform, you acknowledge and accept these provider-side retention limitations.
8.3 Rewamil Chat Storage
Rewamil saves your Chats to its database for as long as you choose to retain them. When you delete a Chat, it is permanently deleted from the active database. However, monthly database backups are maintained; a Chat deleted after its inclusion in a backup may persist on the backup medium until the next monthly refresh cycle. Backup data is not accessed or used for any purpose.
8.4 No Use of Data for Training
Rewamil does not use your Input, Output, or Chat history to train, fine-tune, or improve any AI model, whether operated by Rewamil or any third party. This commitment is binding and reflected in Rewamil's Privacy Policy and Terms of Service with its AI Providers.
8.5 No Data Sale or Third-Party Sharing for Marketing
Rewamil has no affiliation with advertising networks, online marketing agents, or data brokers. Your personal data, Chat content, and usage data are never sold, shared, tracked, or disclosed to any third party for marketing, profiling, or advertising purposes.
8.6 Financial Records
Notwithstanding any Account deletion or Chat deletion, Rewamil retains financial transaction metadata (including your email address associated with transactions) for the period required by Bangladesh VAT law and other applicable financial regulations. These records are used exclusively for tax compliance and the resolution of payment disputes and are not used for any other purpose.
9. Communications from Rewamil
9.1 By creating an Account, you consent to receive operational communications, including account status, billing notifications, subscription renewal alerts, and service announcements necessary for the operation of your Account. These communications are non-optional while your Account is active.
9.2 Rewamil may also send you product updates, new features, promotional offers, training programs, and campaign announcements carried out by Rewamil itself (not by any third party). You may opt out of marketing communications at any time by using the unsubscribe link in any marketing email or by contacting us at the address in Section 18. Opting out of marketing communications does not affect operational communications.
9.3 Rewamil does not share your contact information with third-party marketers.
10. Third-Party AI Providers
10.1 Rewamil integrates AI capabilities from OpenAI and DeepSeek. These are independent third-party providers over whom Rewamil has no control. Rewamil is not responsible for the accuracy, quality, safety, legality, or availability of the AI models or outputs generated by those providers.
10.2 AI Provider terms, usage policies, and privacy practices apply to your use of their models through the Platform and may change independently of these Terms. You are responsible for reviewing and complying with applicable provider policies.
10.3 If any AI Provider changes its API, pricing, or policies in a way that affects the Platform, Rewamil reserves the right to modify the available models, features, or Token Charges accordingly, with notice to you as described in Section 15.
11. Disclaimers and Limitation of Liability
11.1 The Platform and all Outputs are provided "as is" and "as available" without warranty of any kind. Rewamil expressly disclaims all warranties, express or implied, including but not limited to fitness for a particular purpose, accuracy, completeness, and non-infringement.
11.2 Outputs may be incomplete, incorrect, or outdated. You bear full responsibility for verifying any Output before relying on it for professional, financial, legal, or any other purpose.
11.3 To the maximum extent permitted by applicable law, Rewamil's total cumulative liability to you for any claim arising out of or relating to the Platform or these Terms shall not exceed the total Subscription fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.
11.4 Rewamil shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
11.5 Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct, or for any liability that cannot be excluded by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Rewamil, Humayoun Kabir, and their respective agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:
- Your use of or access to the Platform in violation of these Terms;
- Your Input or any Output you act upon;
- Your violation of any applicable law or regulation;
- Any claim that your Input infringes the intellectual property or other rights of any third party.
13. Suspension and Termination
13.1 Rewamil may suspend or terminate your Account immediately and without notice if:
- You breach any provision of these Terms;
- Your use of the Platform violates applicable law or AI Provider policies;
- Rewamil is required to do so by law, regulation, or order of a competent authority.
13.2 On termination, your right to access the Platform ceases immediately. Data deletion follows the schedule described in Section 8 and in the Privacy Policy. Financial records are retained as required by law (Section 5.7).
13.3 You may terminate your Account at any time by contacting us at the address in Section 18. No refund of any prepaid Subscription or Wallet balance will be made upon voluntary termination.
14. Business Transfer
14.1 Rewamil reserves the right to sell, transfer, assign, or otherwise dispose of the Platform, its business, or its assets, in whole or in part, to any third party.
14.2 In the event of a business transfer that materially affects these Terms or the Privacy Policy, Rewamil will provide at least thirty (30) days' advance written notice to users via the email address on file, setting out the nature of the change and the effective date.
14.3 If you do not wish to continue using the Platform under the new ownership or revised terms, you may close your Account before the effective date of the transfer. Continued use of the Platform after the effective date constitutes acceptance of any changes made by the new operator.
15. Changes to These Terms
15.1 Rewamil may update these Terms from time to time. Material changes will be communicated to you by email or via a prominent notice on the Platform at least fourteen (14) days before the change takes effect.
15.2 Your continued use of the Platform after the effective date of any revision constitutes your acceptance of the revised Terms.
15.3 If you do not agree to a revised version, you must stop using the Platform before the effective date and may close your Account as described in Section 13.3.
16. Governing Law and Dispute Resolution
16.1 These Terms are governed by and construed in accordance with the laws of the People's Republic of Bangladesh, without regard to its conflict of law principles.
16.2 Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
16.3 Before initiating formal proceedings, the parties agree to attempt resolution in good faith through direct negotiation for a period of at least thirty (30) days from the date written notice of the dispute is given.
17. General
17.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Rewamil with respect to the Platform and supersede all prior understandings.
17.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
17.3 No Waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of the right to enforce it in the future.
17.4 Assignment. You may not assign or transfer your rights or obligations under these Terms. Rewamil may assign these Terms in connection with a business transfer under Section 14.
17.5 Force Majeure. Rewamil is not liable for failure to perform obligations due to events beyond its reasonable control, including internet outages, AI Provider downtime, or government action.
17.6 Language. These Terms are written in English. In case of any conflict between any translation and the English version, the English version prevails.
